The use of the Website, and its respective subdomains, implies the express and full knowledge and acceptance of these Terms and Conditions. Users who do not agree with these Terms and Conditions have the full right not to use the Website. However, the use of the Website, and its respective subdomains, fully demonstrates the complete, total, and unconditional acceptance of the following Terms and Conditions.

1. Purpose.

These Terms and Conditions regulate the relationship between the User and INVERSIONES PRIBE regarding the User's access and use of the Website. By entering the Website and any of its respective subdomains, through any known or yet-to-be-known modality or means, and/or by accepting the Terms and Conditions, the User is bound by them. The latest version of these Terms and Conditions can always be consulted on the Website. If the User decides not to accept the current Terms and Conditions, they must refrain from accessing the Website and/or using the content and/or services available on it. For the purposes of these Terms and Conditions, the Website shall be understood as: (a) the external appearance (or "look and feel") of the screen interfaces, both static and dynamic; (b) the integrated elements in both the screen interfaces and the navigation tree, including all creations and objects expressed by any means or support, currently known or to be invented in the future, whether or not they are subject to protection by the current legal system regarding intellectual property, industrial property, or any other analogous legal systems, and all those online services or resources that may be offered to Users.

Natural or legal persons who access the Website to use the services offered therein may use the Website.

2. Scope of the Terms and Conditions.

These Terms and Conditions govern completely and fully the use of the Website and its respective subdomains. Therefore, by CLICKING the ACCEPT window or using the Website, you express your full and total understanding and acceptance of these Terms and Conditions, as well as the guidelines, rules, notices, and other additional conditions and terms published on the Website, which form an integral part of these Terms and Conditions.

3. Contractual Relationship.

These Terms and Conditions and the information contained on the Website do not constitute any type of sales offer, but rather an invitation to the User to do business with Unión Temporal Colectivo Emergente. No contract will exist between the User and Unión Temporal Colectivo Emergente, regarding the products offered, until the product order has been expressly accepted by Unión Temporal Colectivo Emergente.
If the purchase offer is not accepted and the User has already been charged, the amount will be fully reimbursed.

4. Purchase of Products on the Website.

To place an order, you must follow the purchase procedure on the Website. Once completed, the User will receive an email confirming that their order has been received ("Order Confirmation"). The Order Confirmation does not mean that the order has been accepted by Unión Temporal Colectivo Emergente. All orders are subject to express acceptance by Inversiones Unión Temporal Colectivo Emergente, which is manifested once it is confirmed that the product is being sent to the User ("Shipping Confirmation"). The contract for the purchase of a product between Unión Temporal Colectivo Emergente and the User will be formalized only when the Shipping Confirmation is sent. Only those products listed in the Shipping Confirmation will be subject to the Contract. Unión Temporal Colectivo Emergente will not be obliged to supply/dispatch/send or deliver any other product not listed in the respective Shipping Confirmation.

5. Product Availability on the Website.

The User acknowledges and accepts that the content of the Website is primarily for promotional and advertising purposes of the brands that are part of Casa Précis and the products sold in its stores. All product descriptions, information, and materials appearing on the Website are provided as a specific body and without express or implied warranties regarding them. To the extent possible, as permitted by law, Unión Temporal Colectivo Emergente excludes all warranties, leaving only those warranties that must be legally recognized for consumers. All product orders are subject to their availability and, in this regard, if difficulties arise in their supply, or if there are no products in stock, Unión Temporal Colectivo Emergente reserves the right to inform the User about substitute products of equal or superior quality and value, so that the User can choose. If the User does not wish to order these substitute products, Unión Temporal Colectivo Emergente will refund any amount paid, with a deduction for any applicable financial charges.

6. Order Processing Unión Temporal

Colectivo Emergente reserves the right to withdraw any Product from the Website at any time and/or remove or modify any material or content thereof. Although Unión Temporal Colectivo Emergente will do its best to process as many orders as possible, there may be exceptional circumstances that force them to reject the processing of an order even after having sent the Order Confirmation. Unión Temporal Colectivo Emergente will not be liable to the User, or any third party, for withdrawing any product from the Website, or for removing or modifying any material or content of the website.

7. User's Right of Withdrawal.

The User may withdraw from their purchase at any time within 15 calendar days from the shipping confirmation of their order and before it is delivered. In this case, 50% of the value paid will be refunded. This withdrawal will only be applicable for reimbursement if the products are returned in the same conditions in which they were delivered to the User, including all instructions, documents, and product packaging. No refund will be applicable if the product has been used or has suffered any damage or alteration. This provision does not affect the rights recognized to the User by law.

8. Product Delivery to the User Unión

Temporal Colectivo Emergente agrees to deliver the product(s) listed in the Shipping Confirmation before the delivery date stated in the Shipping Confirmation. If no delivery date for the product(s) is specified in the Shipping Confirmation, Unión Temporal Colectivo Emergente will have a maximum period of 15 business days to make the delivery from the date of issue of the Shipping Confirmation. If for any reason Unión Temporal Colectivo Emergente cannot meet the delivery date, the User will be informed and offered the option to arrange a new delivery date or cancel the order with a full refund of the price paid. Deliveries will only be made on business days.

9. Price.

The price of the products will be as stipulated on the Website. In case of an error in the price established on the Website and the actual price of the product, Unión Temporal Colectivo Emergente will immediately inform the User. If Unión Temporal Colectivo Emergente cannot contact the User, it will be understood that the order has been cancelled and the full price paid must be refunded. The prices on the Website include VAT, however, they do not include the respective shipping costs. Shipping costs will be calculated once the shipping address of the product is established. Unión Temporal Colectivo Emergente may change the prices of the products at any time. Changes will not affect orders that have already been confirmed for shipment.

10. Value Added Tax.

In accordance with current regulations, all purchases made through the website will be subject to a Value Added Tax (VAT) of 19%, where applicable.

12. Modifications. Unión Temporal

Colectivo Emergente may modify these Terms and Conditions at any time and will notify the User via the email address registered by the User directly on the Website, or by another effective means. The User must accept these changes upon entering the Website to continue using the Website in accordance with the new terms and conditions.

13. Updates.

Unión Temporal Colectivo Emergente is not obligated to provide updates or improvements to the Website. However, if Unión Temporal Colectivo Emergente, at its sole discretion, updates, changes, reduces or improves the Website, these Terms and Conditions will apply to such updates, changes, reductions, improvements, etc., unless explicitly stated otherwise. For this purpose, Unión Temporal Colectivo Emergente will notify the User of the updates, changes, reductions, improvements, etc., and the User must accept them if they wish to continue using the Website.

14. Software.

The User, directly or through a third party, may not use any software, service, or application that modifies, closes, restricts, or redirects, or attempts to modify, close, restrict, or redirect the Website. 15. Intellectual Property.

The User may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, store, create derivative works, disclose, assign, sell, and generally commercially use any information, software, products, or services that are part of the Website. All content on the Website, including but not limited to photographs, texts, drawings, trademarks, music, software, technical developments, designs, images, and generally all assets protected by intellectual property law, image rights, and/or domain rights (the "Materials") that are provided to be viewed, used, or downloaded through the Website, belong and will belong to Unión Temporal Colectivo Emergente or to third parties who have authorized their inclusion on the Website. The User declares to know and accept that they do not and will not have any right over the Materials and that their use of them must always be a private, non-commercial use, which does not violate honest uses in intellectual property law. Through these terms and conditions, the User is clearly and directly informed that the Materials are protected by national and international intellectual property law, so the User accepts that any use made of the Materials outside of honest uses in intellectual property law is a use in bad faith, with the express intention of harming Unión Temporal Colectivo Emergente or a third party and obtaining a benefit for themselves or for a third party from it. If the User infringes the intellectual property rights of another person, or if Unión Temporal Colectivo Emergente receives information about a possible infringement of third-party rights, Unión Temporal Colectivo Emergente will be empowered to immediately delete the infringing User's information and pursue compensation for the damages caused to Inversiones Pribe as a result of the infringement. The User is solely responsible for the content they upload or use on the Website.

16. User Responsibility.

Unión Temporal Colectivo Emergente will make its best efforts to ensure that the Website is a secure site, but cannot guarantee it. The security of the Website is also the User's responsibility, which implies the following commitments:

(i) Not to send or publish unauthorized commercial communications (such as spam) on the Website in any way;
(ii) Not to collect content or information from other users, or otherwise access the Website, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
(iii) Not to participate in illegal multi-level marketing on the Website, such as pyramid schemes;
(iv) Not to upload viruses or malicious code of any kind.
(v) Not to request information from other users or access other user's information.
(vi) Not to bother, intimidate, or harass any User.
(vii) Not to post content that is hurtful, intimidating, or pornographic, that incites violence, or that contains nudity or graphic or unjustified violence.
(viii) Not to use the Website for illegal, deceptive, malicious, or discriminatory acts.
(ix) Not to take any action that could disable, overload, or affect the proper functioning of the Website, such as a denial-of-service attack.
(x) Not to facilitate or encourage the violation of these terms and conditions. Likewise, as a condition for using the Website, the User
(i) will not use the services for any illegal purpose, which is prohibited by current regulations, honest uses and/or terms and conditions, or which violates the honor and good name of the Indemnifiable Parties or third parties;
(ii) may not use the Website in any way that could damage, disable, overload, reduce and generally modify the capacity of the Website or interfere with the use and enjoyment thereof by third parties;
(iii) may not circumvent, disable or manipulate in any other way, or attempt to circumvent, disable or manipulate the security features of the Website, or alter or modify any part of the Website; (iv) may not attempt to gain unauthorized access to any account and/or third-party information, or interfere with or manipulate in any way the accounts, computer systems or networks related to the Website;
(v) may not obtain or attempt to obtain from the Website and/or Unión Temporal Colectivo Emergente any material or information by any means not intentionally provided or made available through the Website;
(vi) may not offer services for commercial purposes to third parties or have the right to receive any amount from third parties for the use of the Website, either directly or indirectly, without the explicit written consent of Unión Temporal Colectivo Emergente;
(vii) is fully and exclusively responsible for their use of the Website and will indemnify the Indemnifiable Parties for this concept;
(viii) guarantees that all information they submit, incorporate and/or declare in the use of the Website is truthful and accurate and that it does not hide or alter information of any kind. If the User breaches the terms of these Terms and Conditions, in any way endangers Unión Temporal Colectivo Emergente or exposes it legally, Unión Temporal Colectivo Emergente may block or restrict the User's access to the Website.

17. Uses of the Website.

By accepting these Terms and Conditions, the User may not use the Website to advertise or offer to buy or sell products or services, or to conduct a business or develop an entrepreneurial activity or a commercial operation of any kind without the explicit, written and prior consent of Unión Temporal Colectivo Emergente.

The User shall not (i) use the Website for surveys, contests, pyramid schemes, chain letters, spam, mass mailings or any repetitive or widespread message; (ii) defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of other people (such as the right to privacy) who use the Website; (iii) create a false identity in order to mislead other users or Unión Temporal Colectivo Emergente; (iv) publish, transfer, distribute, or disseminate on the Website any inappropriate, irreverent, defamatory, obscene, indecent, intimidating, illegal or violence-inciting topic, name, information or material; (v) transfer, stream or otherwise provide files or other material that contains images, photographs, software or other material protected by intellectual property rights, the right to privacy or image rights, unless they own or control the corresponding rights or have received all necessary consents to do so; (vi) use any material, works or information, including images, texts and photographs, provided through the Website in any way that infringes the rights of third parties; (vii) transfer, stream or otherwise provide files or other material that contains viruses, "Trojan horses", "worms", time bombs, cancelbots, corrupted files, or any other similar program or software that may damage the operation of third-party equipment, that of Unión Temporal Colectivo Emergente and/or the Indemnifiable Parties; (viii) infringe any code of conduct or guideline applicable to the Website; (ix) use the Website to collect or gather in any way information about third parties, including email addresses. Unión Temporal Colectivo Emergente reserves the right to remove information published on the Website by the User when it deems it necessary, without prior notice, and will not be liable for the loss of such information in the event that the User does not have a copy of it. Unión Temporal Colectivo Emergente respects the rules and rights of third parties and invites and requires Users to do the same. Therefore, no User may upload to the Website or use on the Website materials or goods protected by intellectual property rights for which they are not the owner or an authorized licensee for their use. Unión Temporal Colectivo Emergente also reserves the right to modify, refuse to transfer or remove any information or material, in whole or in part, at the sole discretion of Unión Temporal Colectivo Emergente, including from all services and the Website, without prior notice to the User. The closure of the Website by Unión Temporal Colectivo Emergente will be at the sole discretion of Unión Temporal Colectivo Emergente and will not generate the payment of commission, price, indemnity, penalty clause, fees, bonus, compensation or any other payment for the User.

19. Handling of User Information.

12.1. Unión Temporal Colectivo Emergente will not share any personal information with third parties for third-party marketing purposes, or for fraudulent purposes or purposes that contravene the applicable regulations on personal data protection in Colombia.

12.2. Users must provide their personal information (name, surname, physical address, email) in the means determined by Unión Temporal Colectivo Emergente, accurately, precisely and truthfully (the “Personal Data”) and undertake to update the Personal Data as necessary. Users declare and guarantee that the Personal Data is accurate, truthful, current and authentic.

By providing their Personal Data, the User is authorizing Unión Temporal Colectivo Emergente to process their Personal Data in accordance with the purposes established in the Privacy Policy of Unión Temporal Colectivo Emergente, which can be found at the following link. In view of the foregoing, it will be understood that the User knows and accepts the terms of processing of their Personal Data by Unión Temporal Colectivo Emergente, in accordance with the Privacy Policy that can be found at the link provided above.

20. Disclaimer of Liability.

Unión Temporal Colectivo Emergente provides the User with the Website “as is”, “with all faults” and “as available”, and the User assumes all risks related to its use. Unión Temporal Colectivo Emergente and/or the Indemnifiable Parties are not responsible for the use that the User intends or comes to make of the Website. Unión Temporal Colectivo Emergente will not be responsible for the information provided by the User on the Website; the User is directly responsible for the information. Unión Temporal Colectivo Emergente is not obligated to provide access to the Website securely and free of interruptions or errors, nor is it obligated to correct defects in the operation or functionalities of any software provided to the User. Unión Temporal Colectivo Emergente may modify the Website or functions at any time, in any way and for any reason. In no event shall the Indemnifiable Parties (including Unión Temporal Colectivo Emergente) be liable for any direct and/or indirect damages based on or resulting from the User's use of the Website. If the User is not satisfied with any part of the Website or with any of the conditions of use set forth in the Terms and Conditions, their sole and exclusive remedy will be to discontinue use of the Website. The User agrees to indemnify, safeguard and hold harmless the Indemnifiable Parties against all claims or demands, including attorney's fees, brought by third parties arising from or out of the User's use of the Website and/or the Materials outside the terms of the Agreement.
Unión Temporal Colectivo Emergente has the autonomous, exclusive and absolute right to prevent the use of the Website by the User and/or to report the User to the competent authorities for non-compliance with the Terms and Conditions. Likewise, it has the right to collect the sums generated by damages caused by the User. The User will be responsible for the products from the moment of their delivery. 25. Applicable Law and Competent Jurisdiction.

All matters that may arise from the access and/or use of the Website will be understood to be regulated and interpreted in accordance with the laws of the Republic of Colombia, regardless of any conflict of laws or jurisdiction. In the event that the User is domiciled outside the Republic of Colombia, any dispute between the User and Unión Temporal Colectivo Emergente will be submitted to the jurisdiction of the Republic of Colombia. Any dispute arising from the relationship resulting from the acceptance of these Terms and Conditions, use of the Website or related to the relationship between the User and Unión Temporal Colectivo Emergente, will attempt to be resolved by direct agreement of the parties through their representatives, within thirty (30) days following the date on which the dispute was raised in writing by one of the parties to the representative of the other party. If the parties for any reason cannot settle their differences within the agreed term, the dispute will be resolved by an arbitration tribunal constituted by one (1) arbitrator appointed by the Parties. In the event that the parties do not agree on the selection of the arbitrator within a period of ten calendar days, he will be chosen by lot by the Arbitration and Conciliation Center of the Bogotá Chamber of Commerce, by lot among the arbitrators registered in its lists and will be governed in accordance with its regulations.
